1) Acceptance of Terms

These Terms of Use (the “Terms”) govern your access to and use of Prop-X websites, mobile apps, emails, APIs, and any related services (collectively, the “Service”). By accessing or using the Service, you agree to these Terms and to our Privacy Policy and Cookie Policy (together, the “Agreement”).

If you do not agree, do not use the Service. If you are using the Service on behalf of a company, broker, or other entity, you represent that you are authorized to accept these Terms and bind that entity. In that case, “you” and “your” refer to that entity.

2) Eligibility & Accounts

  • You must be at least 18 and able to form a binding contract.
  • You are responsible for your account credentials and all activity under your account.
  • Provide accurate information and keep it updated. We may require email/SMS verification or ID verification to post or access certain features.
  • We may refuse, suspend, or terminate accounts at our discretion, including for suspected fraud, policy violations, or risk.

3) The Service

Prop-X provides an online platform where users may publish real-estate listings and where other users may search, view, and contact listers. Prop-X is not a real-estate broker, agent, or fiduciary and does not:

  • represent any party in a transaction;
  • guarantee deals, financing, leads, showings, or outcomes;
  • inspect properties, verify ownership, or confirm zoning/permits;
  • provide legal, financial, or tax advice.

All transactions are conducted off-platform between users at their own risk. Always perform your own due diligence and consult qualified professionals.

4) Listings & User Content

“User Content” means listings, text, photos, videos, floor plans, virtual tours, documents, messages, reviews, feedback, or other material you submit or make available via the Service.

4.1 Your promises

  • You own or have the necessary rights to your User Content.
  • Your listings are accurate, current, and not misleading.
  • You have the right to market the property and your marketing complies with applicable laws and agreements.
  • Your use of the Service will be lawful and non-infringing.

4.2 Prohibited content

  • Illegal, fraudulent, misleading, or deceptive content.
  • Discriminatory content in violation of Fair Housing laws.
  • Spam, duplicate listings, keyword stuffing, or mass unsolicited messages.
  • Third-party personal data without consent.
  • Content that infringes intellectual property or publicity/privacy rights.

4.3 License you grant to Prop-X

You grant Prop-X a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify, adapt, publish, translate, distribute, publicly perform and display, and create derivative works from your User Content for the purpose of operating, improving, marketing, and providing the Service. This license survives termination for archival, compliance, and ongoing uses already in motion.

4.4 Moderation & takedown

We may review, edit, refuse, or remove User Content at our discretion, including for quality, accuracy, safety, or legal/compliance reasons.

4.5 Persistence and backups

Removed or deleted content may persist in backups for a limited time and may remain available if previously shared or cached by others.

5) Brokers, Agents, and Licensing

If you market property on behalf of another, you must hold all licenses required by your jurisdiction and comply with MLS/association/board rules as applicable. You are responsible for required disclosures (e.g., agency, ownership interest, material facts), advertising rules, escrow rules, and recordkeeping.

Prop-X is not responsible for your compliance and does not supervise your brokerage activities. We may ask for proof of licensing or brokerage affiliation and may limit or suspend features if you do not provide it.

6) Fair Housing & Anti-Discrimination

You agree to comply with federal, state, and local Fair Housing laws. Do not advertise any preference, limitation, or discrimination based on protected characteristics (e.g., race, color, religion, sex, disability, familial status, national origin, and any others under applicable law). We may remove content or suspend accounts for suspected violations.

7) No Professional Advice; Due Diligence

Information on the Service is provided for general information only. Prop-X does not provide legal, financial, tax, or appraisal advice. Property information is supplied by users and may be inaccurate, incomplete, or outdated. Always verify information independently (e.g., measurements, zoning, permits, environmental/ADA compliance, HOA/condo rules, rent rolls, liens, and financials).

8) Fees & Pricing

Prop-X is currently free to use. We do not charge listing fees, subscription fees, or per-lead fees at this time. You are responsible for any costs from third parties you choose to use (for example, optional ID verification vendors, payment processors, advertising partners, photographers, inspectors, or other professional services).

We may introduce paid features or plans in the future. If we do, we’ll provide prior notice as required by law and you’ll have the option to accept the new pricing or stop using the paid features. Unless expressly stated otherwise, any fees (if introduced) would be non-refundable once a service period begins.

Nothing in this Section obligates Prop-X to continue any feature for free. We will always disclose prices clearly before you incur any charge.

9) Communications; TCPA/CTIA Consent

By providing a phone number or email, you consent to receive communications from Prop-X and from users who contact you about your listings, including autodialed/automated or prerecorded calls and texts (message/data rates may apply). You can opt out of Prop-X promotional texts by replying STOP, and of emails by using the unsubscribe link. Transactional or service-related messages may still be sent.

10) Third-Party Services & Links

The Service may integrate with mapping providers, payment processors, analytics, ad networks, ID verification vendors, or MLS/data partners. Their terms and privacy policies govern your use of their services. Prop-X is not responsible for third-party services.

11) Intellectual Property

The Service (including software, design, trademarks, logos, data compilations, and all content other than User Content) is owned by Prop-X or our licensors and protected by IP laws. You may not copy, scrape, crawl, index, frame, or reverse engineer the Service except as allowed by law or our written permission. Automated access (bots/scripts) requires our prior written consent.

12) Copyright Complaints

If you believe content on the Service infringes your copyright, please email contact@prop- x.com with a notice that includes: (1) your contact information; (2) identification of the copyrighted work you claim is infringed; (3) identification of the material you claim is infringing and its location on the Service; (4) a statement that you have a good-faith belief the disputed use is not authorized by the copyright owner, its agent, or the law; (5) a statement that the information in your notice is accurate and, under penalty of perjury, that you are the copyright owner or authorized to act on the owner’s behalf; and (6) your physical or electronic signature. We may remove or disable access to material in our discretion and may terminate accounts of repeat infringers.

13) Acceptable Use (What you can’t do)

You agree not to:

  • violate laws, rights of others, MLS/association rules, or these Terms;
  • upload malware or interfere with security or access controls;
  • collect or harvest information (including emails/phone numbers) without consent;
  • scrape/crawl/index the Service without written permission;
  • impersonate another person or misrepresent your affiliation;
  • post private or confidential information without authorization;
  • attempt to evade moderation or re-post removed content;
  • engage in activities that could damage the Service or our users (including spam, fraud, or abusive behavior).

14) Quality Standards for Listings

We may set and enforce quality standards (e.g., required fields, accurate pricing, genuine photos, no watermarks that mislead, unique listings per unit/property, timely updates when status changes). Failure to meet standards may result in reduced visibility, removal, or account limits.

15) Reviews & Ratings (if enabled)

If reviews/ratings are available, you agree to post only truthful, relevant feedback based on your own experience, and you will not offer or accept compensation for reviews. We may moderate reviews at our discretion.

16) Feedback

If you send us ideas or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or compensation.

17) Termination

You may stop using the Service at any time. We may suspend or terminate your account or access at any time, including for suspected violations, risk, or inactivity. Upon termination, Sections that by their nature should survive (e.g., licenses to the extent described, disclaimers, limitations, indemnities, arbitration) will survive.

18) Disclaimers

THE SERVICE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROP-X DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED (INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT). WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT CONTENT WILL BE ACCURATE OR CURRENT.

19) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROP-X AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY. IN NO EVENT WILL OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO PROP-X (IF ANY) IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR (B) US $100.

Some jurisdictions do not allow certain limitations; in those cases, liability will be limited to the maximum extent permitted by law.

20) Indemnification

You agree to defend, indemnify, and hold harmless Prop-X and our affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from or related to (a) your User Content; (b) your use of the Service; (c) your violation of the Agreement or law; or (d) your transactions or interactions with other users.

21) Dispute Resolution; Arbitration; Class Action Waiver

PLEASE READ: This Section affects your rights.

21.1 Informal resolution

Before filing a claim, you agree to email us at contact@prop-x.com with a description of your dispute and work with us in good faith for 30 days to resolve it informally.

21.2 Binding arbitration

If we cannot resolve the dispute informally, you and Prop-X agree to resolve any claim (except as set out below) by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will be conducted by a single arbitrator, in English, in [Dallas County, Texas] or remotely at the arbitrator’s discretion. Judgment on the award may be entered in any court with jurisdiction.

21.3 Exceptions

Either party may bring an individual claim in small-claims court and may seek injunctive or equitable relief in court to protect IP rights.

21.4 Class action and jury trial waiver

Arbitration will be conducted only on an individual basis. Class, collective, consolidated, or representative actions are not allowed. You and Prop-X waive the right to a jury trial.

21.5 30-day opt-out

You may opt out of arbitration by sending a written notice to contact@prop-x.com within 30 days after you first accept these Terms. Your opt-out must include your name, email, and a clear statement that you wish to opt out of arbitration. Opting out will not affect other provisions of these Terms.

22) Governing Law & Venue

This Agreement is governed by the laws of the State of Texas, without regard to its conflicts of law rules. Subject to the arbitration terms above, the exclusive venue for any permitted court action will be the state and federal courts located in Dallas County, Texas, and you consent to personal jurisdiction there.

23) Changes to the Service or Terms

We may modify the Service and these Terms at any time. Material changes will be notified by posting an updated version and revising the Effective Date. Your continued use after changes become effective constitutes acceptance. If you do not agree, you must stop using the Service and, if applicable, disable your account.

24) Privacy & Cookies

Our collection and use of personal information is described in our Privacy Policy. By using the Service, you consent to our use of cookies and similar technologies as described in our Cookie Policy.

25) Export & Sanctions

You may not use or export the Service in violation of U.S. export control or sanctions laws. You represent that you are not located in, under the control of, or a national/resident of any embargoed country or on any U.S. government restricted list.

26) Government Users

If accessed by U.S. Government end users, the Service is provided as “Commercial Items” with only those rights set forth in these Terms.

27) Assignment

You may not assign or transfer this Agreement without our prior written consent. We may assign or transfer it without restriction.

28) Entire Agreement; Severability; Waiver; Force Majeure

These Terms (with the referenced policies) are the entire agreement between you and Prop-X. If any provision is found unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remainder will remain in effect. Our failure to enforce a provision is not a waiver. We are not responsible for delays or failures caused by events beyond our reasonable control.

29) Notices

We may send notices to the email you provide or by posting to the Service. You agree to keep your email current. All notices, legal requests, or communications to Prop-X must be sent to contact@prop-x.com.
